THE CAPITAL REAL ESTATE L.L.C with license number 1093773, located at 35X4+2JF - Al Sufouh - Al Sufouh 2 - Dubai - United Arab Emirates, hereinafter referred to in this Agreement as "THE CAPITAL", and any individual or legal entity hereinafter referred to as the "Partner," accepting (accepting) this Public Offer to join "THE CAPITAL" partnership program (hereinafter referred to as the "Agreement") on the other hand, collectively referred to as the "Parties," and each individually as the "Party," have entered into this Agreement as follows:

Preamble

The information provided in this document is an offer (public offer) to any person to enter into an Agreement to join "THE CAPITAL" partnership program. This Agreement is considered an accession agreement, the terms of which are established and posted on the website and can only be concluded by the complete and unconditional acceptance (accession) of the Partner to the proposed Agreement as a whole.

The Agreement establishes the general terms and conditions under which the Partner gains access to the partnership program (hereinafter - the subject of the Agreement).

1. Subject of the Agreement

The subject of this Agreement is the distribution of commissions arising from the actual sale of real estate to clients transferred to THE CAPITAL by the PARTNER as a real estate broker. To register the fact of such transfer or recommendation from the PARTNER, the Parties must sign or send a Client Transfer Registration Form by means of communication, which will become an integral part of this Agreement (Appendix-1 to the Agreement). The fact of acceptance of such a Form sent by means of communication must be confirmed by THE CAPITAL in the corresponding correspondence with the PARTNER.

2. Calculation and Payment of Commission

The obligation to distribute the commission received by THE CAPITAL from the sale of real estate or other third parties for actually signed purchase and sale agreements arises from agreements concluded by THE CAPITAL with the client registered and transferred by the PARTNER to THE CAPITAL for the implementation of these agreements, and if the client is unique, i.e., has not been previously registered with THE CAPITAL. THE CAPITAL must provide the PARTNER with full information on the net commission amount to be received. The commission rate may vary depending on the conditions applicable to the relationship between sellers and THE CAPITAL. Typically, it is up to 7%, averaging 3%. The terms of distribution and payment of earned commission from this sale are as follows:

a) The commission will be paid to the PARTNER within 5 days after it is credited to THE CAPITAL's account.

b) The rate for payment will be 30%, including VAT, of the received commission. A rate of 40%, including VAT, is provided for an agreement with a client who specifically chose a real estate object with the PARTNER before transferring it to THE CAPITAL, meaning THE CAPITAL is only required to facilitate the transaction without the need for client consultation.

c) Payment will be made by bank transfer based on an invoice or by other agreement between the PARTNER and THE CAPITAL or by any other possible method, with the agreement of the Parties.

d) In case the client recommended by the PARTNER does not make a real estate purchase for any reason, i.e., the agreement does not take place, neither party will have claims against each other.

e) If the client is already registered in THE CAPITAL's database, the commission distribution will not apply to such agreements.

f) In case the commission is withdrawn from THE CAPITAL for any reason, the portion of the commission earned by the PARTNER under this agreement must be returned to THE CAPITAL within 3 days from the receipt of the returned invoice issued by THE CAPITAL.

3. Partner's Responsibilities

Do not engage any other company or realtor (real estate intermediary) or provide services beyond the scope of this Agreement (Exclusivity).

4. Term of the Agreement

a) The term of this Agreement is 1 year from the date of signing. If the parties do not terminate the agreement in writing one month before its expiration, the agreement will automatically be extended for another year on the same terms.

b) Either party may terminate this Agreement by providing written notice to the other party 30 days in advance.

c) After the termination of the Agreement, any commission that should be accrued to the PARTNER from THE CAPITAL will be calculated and recalculated to the PARTNER's account in the order provided in Article 2 of this Agreement.

d) The PARTNER has the right to receive (distribute) commissions for transactions that were implemented with PARTNER's clients in accordance with the subject of this Agreement during its validity.

5. Confidentiality and Data Protection

The PARTNES undertake not to disclose any personal information related to this Agreement to any third party for any reason.

• Total budget, first-time payment budget;
• The client's willingness to purchase a real estate property:

а) Has the client chosen a property that they are ready to purchase?
b) What is the client’s payment option - full payment upfront, installment payments, mortgage?
